1. Parties and term
This proposed agreement is between Andrea Womack / Wild Wind & Root (“Consultant”) and Lawrence / Natural Healing Academy (legal entity name to confirm) (“Client”). The engagement will run for three months, beginning on a mutually agreed date in late November or early December 2026. The exact start and end dates will be added before signing.
2. Services
For the proposed $3,000 three-month engagement, Consultant will provide one 90-minute strategy session, review agreed existing course and marketing assets, prepare and refine a three-month roadmap, provide strategy and implementation support for the January course enrollment goal and a secondary Nutripuncture community-building track, and complete one focused revision of one existing website. The website to revise will be confirmed after the initial review. The included revision has no page or product count limit for that one focused revision. Client supplies final copy, images, product information, and approved claims unless additional writing is agreed. Further revision rounds are not included. The final list of campaign deliverables will be attached or written into the accepted proposal after the strategy session. A full website rebuild, course creation, or course instruction is not included.
3. Possible marketing activities
A lead resource, online masterclass or Q&A, email sequence, organic content, paid advertising, local outreach, or Facebook group may be considered during strategy. Only the items specifically selected in the final scope are included. Advertising spend, software, platform fees, event costs, and third-party services are Client expenses. Consultant will not teach Client's courses or create course curriculum.
4. Meetings and communication · proposed boundary
- One 90-minute strategy session at the start of the engagement.
- One scheduled 30-minute check-in per month, up to three check-ins during the term. Calls are by video or phone, scheduled in advance.
- Up to one in-person meeting during the three-month term, by mutual agreement and subject to availability. Any travel or venue costs will be agreed in writing before booking. The in-person meeting replaces a monthly check-in rather than adding unlimited meetings.
- Project communication takes place by email or the planning hub, with a response target of two business days. Unscheduled calls, text-based task requests, evenings, and weekends are outside the included support.
5. Client responsibilities
Client will provide accurate business, course, audience, and product information; access to the agreed systems; timely feedback and approvals; and a point of contact for the marketing person and teaching team. Client is responsible for the accuracy, substantiation, and approval of all course, product, and health-related statements. Consultant does not provide medical, legal, or regulatory review.
6. Enrollment and marketing results
The goal of 20 January course students is a target, not a guarantee. Consultant does not guarantee enrollments, sales, revenue, audience growth, advertising performance, or any specific result. Client remains responsible for pricing, program delivery, student support, product fulfillment, and final business decisions.
7. Scope changes and approval
Work outside the agreed deliverables, additional pages, extra events, ongoing group moderation, additional advertising management, new product or course builds, or expanded meeting time require a written scope and fee before work begins. Client reviews and approves content before publication. Delays in receiving materials or approvals may shift timelines.
8. Fees and payment · proposed schedule
Three-month engagement fee: $3,000, including the focused website revision described in Section 2. Proposed payment schedule: three monthly payments of $1,000, with the first payment due before work begins and each following payment due at the start of its month. This schedule must be confirmed in the final proposal and invoice.
9. Third-party costs
Advertising spend, website and domain subscriptions, email platforms, software, plugins, stock assets, printing, event costs, travel, and other third-party fees are not included unless agreed in writing. Client pays providers directly.
10. Ownership and confidentiality
Client retains ownership of materials Client provides. Upon full payment, Client may use final custom deliverables created specifically for Client. Consultant retains pre-existing methods, templates, processes, and general know-how. Both parties will use reasonable care with non-public business information. Consultant may request permission before sharing confidential or unpublished materials in a portfolio.
11. Cancellation and continuation
This engagement ends after three months and does not renew automatically. Any cancellation, outstanding work, payment obligations, or handoff will be handled under terms to be finalized in the signed agreement. Additional support requires a new written scope.
12. Acceptance
Before signature, the parties will confirm the legal names, start and end dates, final deliverables, payment schedule, cancellation terms, and meeting boundaries. No work begins until both parties sign the final agreement and the initial payment is received.
